Terms of Service

The rules that govern your use of Desk Theory's website, newsletter, member area, and digital products. Plain language where possible; legalese where it has to be.

1. Who we are

Desk Theory ("we", "us", "our") is an AI-leverage education brand operated as a sole proprietorship by Andrew Lissimore in British Columbia, Canada. We publish a newsletter, sell digital products including the OpenCLAW guide, and offer implementation services to founder-CEOs. These terms apply to desktheory.com and any subdomains, products, and services we provide.

2. Acceptance

By visiting our website, subscribing to our newsletter, creating an account, or purchasing a product, you agree to these terms and to our Privacy Policy. If you don't agree, please don't use the site or buy the products.

You must be at least the age of majority in your jurisdiction (18 in British Columbia) to enter into a binding agreement with us and to purchase paid products.

3. What we offer

  • Newsletter. A free email newsletter on AI leverage for founder-CEOs.
  • Lead magnets. Free PDFs and resources delivered by email in exchange for your email address.
  • Digital products. Paid PDFs, guides, and templates including the OpenCLAW guide ($99 USD).
  • Member area. Account-gated content at /members for buyers and qualified members.
  • Services. Implementation and advisory engagements offered on a separate written scope when applicable.

We may add, change, or discontinue any of the above at our discretion. Material changes that affect a product you have already purchased will be communicated by email.

4. Pricing and payment

Prices are shown in U.S. dollars unless otherwise stated and exclude any applicable taxes, which may be added at checkout based on your location.

Payments are processed by Stripe. We do not see or store your full card number. By providing payment information, you authorize the charge for the product or service you've selected, plus any applicable taxes.

We may correct pricing errors before processing an order. If we discover a pricing error after an order is placed, we'll notify you and offer the corrected price or a full refund.

5. Refunds

OpenCLAW guide ($99): 30-day money-back guarantee

If you buy the OpenCLAW guide and decide within 30 days of purchase that it's not for you, email andrew@desktheory.com with your order details and we'll refund the full purchase price. No forms, no friction. Refunds are returned to the original payment method within 5 to 10 business days, depending on your bank.

Other digital products

Unless we specifically state otherwise on the product page, other digital products are non-refundable once delivered. If there's a technical problem with delivery (broken download link, missing file, wrong product) email us and we'll fix it or refund you.

Services

Service engagements are governed by the separate written scope of work for that engagement. Refund and cancellation terms are specified there.

6. Newsletter

The newsletter is free. By subscribing you agree to receive editorial content, occasional product announcements, and offers. You can unsubscribe at any time using the link in every email. Unsubscribing stops marketing emails; we may still send transactional emails (receipts, download links) related to purchases you've made.

7. Accounts

Some features (such as the member area) require an account. Authentication is provided by Clerk; password rules and recovery flows are handled by them.

You're responsible for keeping your login credentials confidential and for all activity that occurs under your account. Notify us immediately if you suspect unauthorized access. We may suspend or terminate accounts that violate these terms, abuse the service, or are inactive for an extended period.

8. Acceptable use

When using our website, products, or services, you agree not to:

  • Resell, redistribute, sublicense, or publicly share digital products you've purchased.
  • Scrape, crawl, or harvest data from the site beyond what a normal browser would do.
  • Reverse-engineer, decompile, or attempt to extract source code from any tool or product.
  • Use the site or products to develop a competing product or service that is substantially similar.
  • Attempt to bypass access controls, paywalls, or member-area authentication.
  • Upload or transmit malware, conduct denial-of-service attacks, or otherwise interfere with the site's operation.
  • Use the site or our products in any way that violates applicable law.

9. Intellectual property and license

All content on the site and in our digital products (text, design, code, graphics, frameworks, methodologies) is owned by Desk Theory or its licensors and is protected by Canadian and international copyright and trademark law.

When you purchase a digital product, we grant you a non-exclusive, non-transferable license to use it for your own personal learning and internal business operations. You may apply the frameworks and ideas in your own work. You may not redistribute, resell, or publish the product (or substantial portions of it) in any form.

"Desk Theory" and the Desk Theory logo are our trademarks. Don't use them without written permission.

10. Disclaimers

The newsletter, products, and services are educational and informational. They are not personalized financial, legal, tax, medical, or other professional advice. Apply your own judgment and consult qualified professionals where appropriate.

The website, products, and services are provided "as is" and "as available", without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted availability. We do not warrant that any specific business outcome will result from using our content or products.

11. Limitation of liability

To the maximum extent permitted by law, in no event will Desk Theory or Andrew Lissimore be liable to you for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, or lost data, arising from or related to your use of the website, products, or services, even if advised of the possibility of such damages.

Our total cumulative liability to you for any claim arising from or related to these terms, the website, or our products will not exceed the greater of (a) the amount you paid us in the 12 months immediately preceding the event giving rise to the claim, or (b) one hundred Canadian dollars (CAD $100).

Some jurisdictions don't allow the exclusion of certain warranties or limitations on certain damages. In those jurisdictions, our liability is limited to the greatest extent permitted by law.

12. Indemnification

You agree to indemnify and hold harmless Desk Theory and Andrew Lissimore from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from your breach of these terms, your misuse of the site or products, or your violation of any applicable law.

13. Termination

You can stop using the site, unsubscribe from the newsletter, or close your account at any time.

We may suspend or terminate your access to the site, the member area, or any product if you breach these terms, abuse the service, or for legal or operational reasons. Provisions of these terms that by their nature should survive termination (intellectual property, disclaimers, limitation of liability, indemnification, governing law) will survive.

14. Changes to these terms

We may update these terms as the business evolves. The "Last updated" date at the top reflects the latest revision. Material changes will be communicated by email to current subscribers and posted on this page at least 14 days before they take effect. Continuing to use the site after changes take effect means you accept the updated terms.

15. Governing law and disputes

These terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable in British Columbia, without regard to conflict-of-laws principles.

Any dispute arising from or related to these terms or your use of the site or our products will be brought exclusively in the courts located in Vancouver, British Columbia, and you consent to the personal jurisdiction of those courts. Nothing in this section prevents either party from seeking injunctive relief in any court of competent jurisdiction.

If you are a consumer resident in a jurisdiction whose mandatory consumer-protection laws give you rights that cannot be waived by contract, those rights apply notwithstanding this section.
